PRESS RELEASE
The International community faces the loss of a
critical media stronghold of free speech.
The Pacifica Foundation, Inc is a non-commercial, educational radio broadcasting comprised of 5 FCC licensed FM national radio stations. It began as Pacifica Radio Network, Inc. in 1949 as a registered California non-profit for public good, providing a uniquely independent platform for news, education and the arts. Its origin as a Pacifist organization promoting peace can be found at: https://www.britannica.com/topic/pacifica-radio.
In recent years Pacifica Foundation, Inc., although governed by a system of internal Bylaws regulating election of board members, standing committees and meeting protocols, has been ruled through a strategy to capture the governance and financial leadership of the Pacifica National Board (the “PNB”). A faction within the Pacifica Foundation is a group identifying itself as “New Day Pacifica (NDP)” an association of people with a website and campaign mailers, an unincorporated association led by Jan Goodman, a Los Angeles area lawyer and elected PNB Director. She enjoys a comfortable PNB vote control margin from NDP.
This NDP group has now gained control beyond the PNB, but also 3-4 of the 5 Station LSBs through lawsuits and gamesmanship (including Bylaws-violations, re-written and reinterpreted the governing Bylaws using a flawed membership referendum in 2020), which removed democratic controls over Pacifica’s program content, decisions on on-air personalities and management.
Individuals within the NDP faction have created large financial losses to the foundation by selling real property, imposing bad fundraising and failing to see the shift in demographics of listeners and programing.
In 2020 Pacifica Foundation membership voted down the New Day Pacifica Bylaws referendum, which attempted to remove two separate classifications of workers at Pacifica Foundation: Paid and Volunteer Staff. This referendum also sought to take power away from members known as Listener Sponsors, the fundamental sustaining platform of this Radio Foundation.
After losing the 2020 referendum, in 2021 Plaintiff “New Day Pacifica” filed a lawsuit against the Pacifica Foundation, asking for the Court to overturn the vote by Pacifica Foundation’s Listener Sponsors that rejected the New Day Pacifica’s 2020 Referendum.
In 2022 the Court threw out New Day Pacifica’s lawsuit, but Jan Goodman remains in the picture driving New Day Pacifica, using Pacifica Foundation’s democratic governance to overturn board member and board director term limits, holding illegal votes to divide locally elected LSB members and cancelled the 2022 Bylaws scheduled LSB-Local (5) Station Boards elections.
“New Day Pacifica” has drafted an illegal Non-Disclosure Agreement demanding PNB 22 Directors and LSB members sign or face removal and even revoking annual $25 membership. Local Standing Committees of LSBs have been suspended. These are the spaces where public members can participate and input toward Station Governance per the Foundation Bylaws.
January 2025, the PNB New Day Majority vote
adopted another alarming Resolution “Disciplinary Protocol” for the 5 network Radio Station Boards, denying members to leak/expose what this nefarious group “New Day Pacifica” has been up to.
These actions are more violations of the Pacifica Foundation Bylaws and California Corporate Code. The Pacifica Foundation, Inc Bylaws can be accessed at: https://www.pacifica.org/indexed_bylaws/index.html
Sundry internal governance manipulations by New Day Pacifica have caused serious damages to this unique Foundation’s democratic Bylaws system, transforming it into something mission creep, in contrast to its founding Mission Statement: https://www.pacifica.org/
